Union negotiations simplified with streamlined solutionClient: confidential
The company was entering lengthy negotiations with several unions simultaneously and wanted a better, more efficient solution than the usual method of constant travel, physical transport of hard copy documents, and haphazard Q&A. By engaging Venue’s SAS 70 Type II-secure application to create a single repository and active workspace for the storage and transfer of all union-related documents, the company was able to safeguard the sensitive information that was once susceptible to exposure during its move around the country. Venue helped the company realize significant cost and time savings in two ways: first, by eliminating the need for expensive and time-consuming travel; second, by streamlining the long and labor-intensive question and answer process with its integrated Q&A module, which housed all union questions and management’s corresponding responses in a single, easily manageable space.
Global footprint and advanced search integration critical to process
Financial advisor: confidential
The company’s global presence and the complicated nature of its restructuring required a virtual data room that offered a full suite of financial services, as well as a global network of office locations available to quickly address the changing and potentially unexpected needs of a large multinational deal team. The enormity of the company demanded a fast, relevant search tool able to efficiently locate critical documents from among over a million pages of content. At the client’s request, the Venue team expedited and implemented a huge upgrade and redesign of the existing search feature by integrating Google’s industry-leading Search Appliance – all in a period of three months, from start to finish. Venue’s service team decrypted and uploaded 1.4 million pages from the client’s DVD archive, built out eight separate index structures, uploaded over 400 users, and applied all user permissioning and security settings in less than ten days.
Confidential asset sale necessitates out of scope assistance
Legal advisor: Latham & Watkins LLP
Seeking to sell the company quickly while avoiding any media attention, the client leveraged Venue’s flexibility and local presence to accommodate their special request. Venue’s service team visited the company’s Bay Area corporate headquarters before dawn and retrieved several boxes of highly confidential documentation unnoticed. Over 20,000 pages were scanned, uploaded into the Venue project site, and made available for viewing within a matter of days.
Post-transaction diligence requires hands-on assistance
Buyer: mid-market private equity firm
A New York private equity firm needed to aggregate and organize all information related to its recent purchase of 126 restaurant locations. Because over 80% of the documents were hard copies, the client requested one on one assistance from the RR Donnelley staff to aid with the cumbersome task of scanning and uploading the documents. Venue promptly responded by sending a Project Manager directly to the client’s offices in order to help the client prepare and slip-sheet the documents for scanning. The RR Donnelley Venue Project Manager’s direction and oversight resulted in the seamless conversion of almost 9,000 hard copy pages to electronic files – all within three days. Upon completion of the scanning process, the client requested the manual creation of the document index from a Word file, after which the Venue team had the room up and running in less than three days.
